Willdan Group is favorably positioned because its Mantis acquisition meaningfully broadens the commercial mix with complementary capabilities in industrial energy efficiency, data centers, and food and beverage, while adding a new set of Fortune 500 customers such as DataBank, Yonder, Coors, Hershey, Chobani, Frito-Lay, and Pepsi. The deal also offers potential upside to net revenue of up to about $20 million if more costs are deemed pass-through, which could improve the valuation profile from roughly 11.5x EV/EBITDA toward about 10x and support stronger synergies across Burton, APG, and Mantis. Bears say
Willdan Group is facing a cautious outlook because the Mantis acquisition adds meaningful integration risk while increasing exposure to data center buildouts, which already represent more than 30% of Mantis’s revenue and are expected to rise to the mid-teens as a share of pro forma WLDN. The deal also appears margin dilutive, since Mantis carries a lower Adj. EBITDA margin than Willdan’s ~25% FY26 Adj. EBITDA guidance, creating about 50 bps of pro forma dilution and offsetting roughly one year of management’s targeted 50 to 100 bps annual expansion. Although the acquisition may strengthen its position in building controls and utility demand response, the business mix shift and execution uncertainty temper the fundamental outlook.
