National Healthcare is well positioned because management is rapidly shifting the portfolio toward higher-growth SHOP assets, with ~19 acquisitions and $280 million completed YTD at a 7.9% cap rate, plus another $120 million under agreement and a potential $143.5 million bankruptcy-auction win. Its SHOP platform is already proving the thesis, as same-store cash NOI rose 20.1% with occupancy up 140 bps to 84.1%, while full-year 2026 SHOP same-store cash NOI growth guidance was raised to 15.0%-18.0% and the broader same-store NOI target to 15%-18%. The balance sheet is also much stronger, with net debt to annualized adjusted EBITDA down to 4.6x, liquidity near $1 billion, and borrowing capacity increased to $1.2 billion, supporting projected core growth to $0.82/share in 2026, $0.91/share in 2027, and $1.10/share in 2028.
Bears say
National Healthcare is viewed negatively because its pivot from OMF toward SHOP depends on executing asset sales and accretive reinvestment at a time when seniors housing fundamentals may only plateau and its older, smaller middle-market assets offer limited long-term organic growth. The company also faces meaningful capital and liquidity risk, with roughly $600 million of initial float, about $400 million of legacy shares locked up until late October 2026, and a likely need for external capital that could pressure earnings if terms are unfavorable. Although same-store OMF cash NOI was $20.2 million and OMF NOI growth reached 7.6% annually versus SHOP’s 24%, the more operationally intensive SHOP/RIDEA model, elevated capex, and regulatory, reimbursement, and labor risks increase downside if performance disappoints.
