The Notes will bear interest at a rate of 3.375% per year, payable semi-annually, will mature on October 1, 2026 and may be redeemed in whole or in part at Capital Southwest's option at any time prior to July 1, 2026, at par plus a “make-whole” premium, and thereafter at par. The Notes will be issued at a price of 99.418% of the aggregate principal amount of the Notes, resulting in a yield-to-maturity of 3.5%. The offering is subject to customary closing conditions and is expected to close on August 27, 2021.

The amendment reduced the interest rate on borrowings to LIBOR plus 2.15% from LIBOR plus 2.50%, increased the advance rate on unquoted first lien assets to 70% from 65%, and increased the Company's allowable share repurchases by $20 million during the availability period, among other things. The end of the Credit Facility's revolving period was extended from December 21, 2022 to August 9, 2025; and the final maturity was extended from December 21, 2023 to August 9, 2026.
